Terms of Use & Risk Disclaimer

Risk & no-profit disclaimer (read carefully)

Trading involves substantial risk of loss, including loss of some or all capital. You may lose money.
TradeNEarn is a platform that supports trading operations (monitoring, automation tooling, risk controls, and operator workflows). It is not a promise, forecast, or guarantee of profit.
Infleca Innovation Pvt Ltd and TradeNEarn are not responsible for any trading losses, missed trades, slippage, broker errors, outages, misconfiguration, strategy underperformance, or decisions you or your systems make.
Past performance, paper results, backtests, demos, and marketing examples do not guarantee future results.
You alone decide whether to trade, what to trade, risk limits, paper vs live mode, and when to pause or flatten. Use the platform at your own risk.

1. Acceptance

By accessing tradenearn.com or using TradeNEarn, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the site or platform.

2. What TradeNEarn is (and is not)

TradeNEarn provides software and related services to help operators configure, supervise, and run trading workflows (including paper/simulated modes where enabled).

It is not investment advice, a portfolio manager for you personally, a broker-dealer, a bank, or a guaranteed income product.
Autopilot, agents, screens, or risk gates may reduce or refuse certain entries; that does not mean losses cannot occur or that profits will be made.
Any live trading requires your own broker relationship, funding, compliance, and explicit configuration. The Company does not silently turn on live trading for you.

3. Eligibility & accounts

You must be legally able to enter contracts and to use trading software in your jurisdiction. You are responsible for the accuracy of information you provide and for all activity under your tenant/account credentials.

4. Your responsibilities

Understand market risk and only risk capital you can afford to lose
Validate configuration in paper/simulation before any live use
Secure API keys, credentials, hosts, and network access
Comply with applicable laws, exchange rules, and your broker’s terms
Supervise autonomous modes; keep emergency controls and Watchdog available where offered

5. No warranties

THE SITE AND PLATFORM ARE PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, UPTIME, ACCURACY OF MARKET DATA, OR ERROR-FREE OPERATION, TO THE MAXIMUM EXTENT PERMITTED BY LAW.

6. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, INFLECA INNOVATION PVT LTD, ITS DIRECTORS, EMPLOYEES, CONTRACTORS, AND TRADENEARN SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, OR ANY TRADING LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SITE OR PLATFORM — WHETHER BASED IN CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE — EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Where liability cannot be fully excluded, our aggregate liability for all claims relating to the site or platform shall not exceed the fees you paid to Infleca for TradeNEarn in the three (3) months before the claim (or USD $100 if you paid nothing), to the maximum extent permitted by law.

7. Indemnity

You agree to indemnify and hold harmless Infleca Innovation Pvt Ltd and TradeNEarn from claims, losses, and expenses (including reasonable legal fees) arising from your use of the platform, your trading activity, your content/configuration, or your breach of these Terms or applicable law.

8. Trials, fees & changes to the service

Trials (including paper trials) are for evaluation only and may be limited or revoked. We may change features, plans, or discontinuance of free tiers. Paid terms, if any, are described at purchase or in a separate order.

9. Intellectual property

TradeNEarn branding, software, documentation, and site content belong to Infleca Innovation Pvt Ltd or its licensors. You receive a limited right to use the service as offered — not ownership of our IP.

10. Third-party services

Brokers, market-data vendors, cloud hosts, AI providers, and messaging tools are third-party services. Infleca is not responsible for their availability, accuracy, fees, or acts/omissions.

11. Termination

We may suspend or terminate access for misuse, legal risk, non-payment, or harm to the service or other users. You may stop using the platform at any time.

12. Governing law

These Terms are governed by the laws of India, without regard to conflict-of-law rules, unless mandatory local consumer law requires otherwise. Courts in India shall have exclusive jurisdiction, subject to any non-waivable rights you may have.

13. Changes

We may update these Terms. The “Last updated” date will change when we publish revisions. Continued use after an update constitutes acceptance of the revised Terms.
